Merger Statement for Quality Equipment,LLC

and

Revels Turf and Tractor

On November 1, 2007 Revels Tractor Co. Inc. signed agreements to merge its agriculture, residential and commercial mowing and landscape equipment business with a group of John Deere dealers in eastern and central North Carolina. The newly formed company is known as Quality Equipment, LLC. Other than Revels Tractor the dealers involved are D&L Equipment of Roxboro, E&E Equipment of Henderson, Harnett Tractor Co. of Dunn and Quality Farm Equipment of Clinton, Goldsboro and Wallace. Currently there are 8 locations under the Quality Equipment, LLC banner. All of the dealer groups mentioned retained some ownership in the new company. Revels Tractor Co. was the only dealership not to merge its entire business. Revels Tractor Co. is the exclusive distributor for John Deere golf and turf equipment for parts of West Virginia, Virginia, North Carolina and South Carolina and therefore retained 100% ownership of the golf business. Revels Tractor Co. will now operate as Revels Turf and Tractor to better reflect the nature of our business. Revels Turf and Tractor will continue operating out of the Fuquay-Varina location that has been home base since 1970 and share that facility with Quality Equipment. Revels Turf and Tractor also has a full service location in Myrtle Beach, SC that includes golf and turf equipment and remains a consumer and commercial mowing equipment dealer as well as landscape equipment and compact and utility tractors. A third location in Richmond, Virginia is dedicated exclusively to the golf and sports turf industry. Turner Revels, President of Revels Turf and Tractor and a board member on the Quality Equipment, LLC board states “ the merger will assist us to be more focused on our core customer for the golf and sports turf business while allowing us to leverage the economy of scale benefits for the agriculture, mowing and landscape equipment business in central North Carolina. There will be a strong working relationship between Revels Turf and Tractor and Quality Equipment that will be focused on customer needs and service that should enhance the value provided by both companies.”
